These Terms of Service (“Terms”) govern your access to and use of AgencyWorkflow at https://agencyworkflow.app and related apps, including the customer portal (the “Service”). The Service is operated by Mauct & Co. LLC (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms.
AgencyWorkflow is a multi-tenant software platform for agencies and similar businesses. Features may include client (customer) records, invoicing, online payment collection through third-party payment processors, a customer portal, agreement drafting tools (modules and templates), and related bookkeeping workflows as we make them available.
We may add, change, or remove features. We do not guarantee that every roadmap item will ship, or that any particular feature will remain available forever.
You must provide accurate account information and keep credentials secure. You are responsible for activity under your account.
Business data in the Service is scoped to organizations you belong to. Organization admins control membership and access within their org. You must only use the Service for lawful business purposes and in compliance with applicable law.
Invoice and customer payments may be processed by one or more third-party payment processors we integrate with. When you connect a payment account to the Service, that processor’s terms also apply to payment processing.
Card numbers and similar payment credentials are handled by the payment processor; we do not store full card numbers on our servers. We may store payment-related metadata needed to reconcile invoices (for example payment status, amounts, and processor identifiers).
AgencyWorkflow may charge a platform application fee on eligible payments in addition to the payment processor’s fees. Fee rates are disclosed in product settings or pricing materials and may change with notice.
We are not a bank, money transmitter, or payment institution. Payout timing, reserves, and account eligibility are determined by the payment processor and your connected payment account status.
Modules, templates, and sample agreement language in the Service are provided for illustration and inspiration only. They are not legal advice, are not a substitute for advice from a licensed attorney, and are not warranties that any document is enforceable or suitable for your situation.
Mauct & Co. LLC and AgencyWorkflow are not a law firm and do not create an attorney–client relationship by providing templates or drafting tools. You are solely responsible for reviewing, editing, and obtaining counsel review of any agreement before you send or rely on it.
You retain ownership of customer records, invoices, agreement text, and other materials you submit (“Customer Content”). You grant us a limited license to host, process, transmit, and display Customer Content solely to operate and improve the Service, and as otherwise described in our Privacy Policy.
You represent that you have the rights needed to submit Customer Content and that it does not violate law or third-party rights.
You may not misuse the Service, including by attempting unauthorized access, interfering with other customers, probing or bypassing security, scraping in a way that harms the Service, sending unlawful or deceptive communications, or using the Service to process payments you are not authorized to collect.
We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages (including payment processors, hosting, email, or database providers), and force majeure events may affect availability.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY TEMPLATE WILL MEET YOUR REQUIREMENTS OR PRODUCE A PARTICULAR LEGAL OR BUSINESS OUTCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
You will defend and indemnify us against claims arising from your Customer Content, your use of the Service in violation of these Terms or law, or disputes between you and your customers or counterparties (including agreement or payment disputes), except to the extent caused by our willful misconduct.
You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, create risk for other users or payment partners, or if required by law or a payment processor. Upon termination, your right to use the Service ends; provisions that by nature should survive will survive.
We may update these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use after the effective date constitutes acceptance of the updated Terms, except where applicable law requires additional consent.
These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-law rules, except where mandatory local law applies. Courts in Texas will have exclusive jurisdiction over disputes, subject to applicable consumer protections.
